Terms and Conditions – Sprocket 3PL
1. Introduction
Welcome to Sprocket 3PL AS. By using our services, you agree to be bound by these terms and conditions. We recommend that you review the terms carefully before entering into any agreement or collaboration.
2. Definitions
Agreement: The entire agreement between Sprocket 3PL and Customer, including these Terms, any Attachments and written amendments.
Customer: Company or individual who receives services from Sprocket 3PL.
Services: All logistics and fulfillment services provided by Sprocket 3PL, including warehousing, order processing, inventory management, bike assembly and related services.
Goods: Products that Customer entrusts to Sprocket 3PL for storage, handling and distribution.
3. Scope of services
Sprocket 3PL offers the following services:
Warehousing: Secure and controlled storage of the Customer's goods.
Inventory management: Monitoring and managing stock levels.
Order processing: Picking, packing and shipping according to agreed instructions.
Returns handling: Receiving and processing product returns.
Additional services: Labeling, puttying, special packaging and other customized solutions by agreement.
4. Service Level Agreement (SLA)
Sprocket 3PL is committed to delivering high-quality and predictable services, including:
Order accuracy: Minimum 99%.
Order processing: Dispatch within 24 hours on business days.
Inventory accuracy: Minimum 99.5%.
Return processing: Completed within 48 hours of receipt.
5. Fees and payment
Prices: All services are invoiced according to current price lists or individual agreement.
Payment terms: 14 days net from invoice date.
Late payment: In the event of delay, interest and fees may accrue in accordance with the agreement and applicable legislation.
6. Price adjustments
Sprocket 3PL reserves the right to adjust prices due to changes in cost levels, inflation, inventory utilization or external conditions. The customer will be notified in writing at least 60 days before price changes take effect.
7. Confidentiality and data security
The parties undertake to treat all confidential information confidentially. No information shall be shared with third parties without written consent, unless required by law.
In the event of a data breach, the Customer will be notified within 48 hours of discovery. Customer data will be securely deleted or anonymized within 30 days of termination of the agreement, unless otherwise required by law.
8. Insurance and liability
Sprocket 3PL maintains relevant insurance, including liability insurance and cargo insurance.
Sprocket 3PL's aggregate liability for direct loss or damage is limited to the amount Customer has paid for services in the last six (6) months prior to the event of damage.
9. Termination
Ordinary termination: The agreement may be terminated by either party with six (6) months' written notice.
Material breach: The agreement may be terminated with immediate effect in the event of a material breach of agreed obligations or SLAs.
10. Governing law and dispute resolution
The agreement is governed by Norwegian law. Disputes shall be resolved through negotiations. If this does not lead to a settlement, the matter may be submitted to mediation and subsequently settled by arbitration with its seat in Oslo.
11. Changes
Changes or additions to the agreement are only valid if they are in writing and signed by both parties.
12. Liability for damages (Indemnification)
Customer shall indemnify Sprocket 3PL for any loss, damage or claim arising from Customer's acts, omissions, defaults or third party claims relating to the goods or services.
